These Terms and Conditions ("Terms") govern your access and use of the 3dimli.com website, services, and products (the "Service"). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, and Refund Policy. If you do not agree with any part of these Terms, you may not access or use the Service.

3dimli.com is a Software as a Service (SaaS) All-in-one Digital Commerce Platform that provides comprehensive digital commerce tools and infrastructure to help creators and businesses start their stores as sellers and reach a global audience. We offer our platform technology as a service, enabling independent creators ("Sellers") to easily open their stores as sellers, list their digital products, manage inventory, process payments, and sell exclusively digital products to customers worldwide ("Buyers"). Our platform only supports digital product sales - physical products are not permitted.

Important: We do not buy, sell, or take ownership of any digital products. Our role is limited to providing the software tools and infrastructure for Sellers to manage and sell their own digital products directly to Buyers. All transactions are between the Buyer and the individual Seller.

Our SaaS solution includes store setup tools, product listing capabilities, payment processing integration, global platform access, content delivery systems, and analytics - everything needed to establish and operate a successful digital commerce business selling 3D models, graphics, software, e-books, and other digital content ("Products").

2.1 Account Registration

To access certain features of the Service, you must register for an account ("Account"). You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the confidentiality of your account password
• Accept responsibility for all activities that occur under your Account
• Notify us immediately of any unauthorized use of your Account

2.2 Business Accounts

Sellers operating as businesses must provide valid business registration documents and comply with all applicable business laws and regulations in their jurisdiction.

PayPal Business Account Requirement: To become a Seller on 3DIMLI, you must have a valid PayPal Business Account. Personal PayPal accounts are not eligible for selling on our platform.

Geographic Restrictions: Due to Reserve Bank of India (RBI) regulations, PayPal accounts registered in India are currently not eligible to become Sellers on 3DIMLI. This restriction may be updated as regulations change.

3.1 Sellers

Eligibility Requirements:

• Must have a valid PayPal Business Account (Personal PayPal accounts are not eligible)
• PayPal accounts registered in India are currently not eligible due to RBI regulations

As a Seller, you agree to:

• Only sell digital products (physical products are strictly prohibited)
• Own or have legal rights to all content you upload
• Provide accurate product descriptions and specifications
• Deliver products as described and in the specified format
• Respond to customer inquiries promptly (within 48 hours)
• Comply with all applicable laws and our Acceptable Use Policy
• Maintain appropriate business licenses and registrations
• Handle customer service and technical support for your products

3.2 Buyers/Customers

As a Buyer, you agree to:

• Use purchased products only in accordance with their license terms
• Provide honest reviews and feedback
• Not redistribute or resell products without explicit permission
• Comply with all applicable laws and our Acceptable Use Policy
• Pay all fees associated with your purchases

4.1 Product Licensing

When you purchase a Product on 3dimli.com, you are purchasing a limited, non-exclusive, non-transferable license to use that Product, subject to the specific license terms provided with each Product. All intellectual property rights in the Products remain owned by the respective Seller.

4.2 Permitted Use

You may only use Products for lawful purposes and as expressly allowed by the license terms. You may not reproduce, distribute, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Products except where expressly permitted by law or by the specific license terms.

4.3 User Content

You may submit content such as text, photos, videos, or other materials ("User Content") while using the Service. You retain ownership of your intellectual property rights in your User Content. However, by submitting User Content, you grant 3DIMLI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and display your User Content for the purpose of operating and promoting the Service.

4.4 Content Warranties

You represent and warrant that:

• You have all necessary rights to submit any User Content
• Your content does not infringe any third-party rights
• Your content complies with all applicable laws and our Acceptable Use Policy
• You are solely responsible for your User Content

Users must also comply with our Acceptable Use Policy. All users must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Additionally, you agree not to:

• Use the Service for any unlawful purposes
• Violate any intellectual property rights
• Post harmful, defamatory, or offensive content
• Attempt unauthorized access to our systems
• Interfere with the operation of the Service
• Engage in fraudulent or deceptive practices

6.1 Payment Processing

We currently accept payments via PayPal, with additional payment methods to be added in the future. All transactions must be processed through our approved payment systems.

Seller Payment Requirements:

• Sellers must have a valid PayPal Business Account to receive payments
• Personal PayPal accounts are not eligible for seller payments
• Due to RBI regulations, PayPal accounts registered in India cannot currently receive seller payments

6.2 Pricing and Fees

Beta Phase Pricing: During our beta phase, 3DIMLI platform usage is provided free of charge to all users. There are no subscription fees, listing fees, or platform usage charges during this period.

Future Pricing Model: Upon stable release, 3DIMLI will introduce subscription-based pricing for platform infrastructure usage including:

• Flexible subscription plans
• Fixed subscription plans

Commission Structure:

• 3DIMLI takes no commission from product sales
• Sellers keep 100% of their product revenue
• Subscription fees are charged separately for platform infrastructure usage

We will provide advance notice (minimum 30 days) to all existing users before implementing any pricing changes or subscription requirements.

• Sellers set their own prices for Products
• PayPal processing fees apply as per PayPal's fee structure
• All prices are displayed in USD unless otherwise specified

6.3 Seller Payments

• All payments are processed directly between Buyers and Sellers through PayPal Business Accounts
• 3DIMLI does not handle, process, or take ownership of product payments
• Sellers must maintain a valid PayPal Business Account to receive payments
• PayPal accounts registered in India are currently ineligible due to RBI regulations
• Sellers are responsible for all applicable taxes
• Payment disputes must be resolved directly between Buyer and Seller according to PayPal's dispute resolution process

6.4 Refunds

All purchases are subject to our Refund Policy. Generally, purchases are final and non-refundable except where:

• The product has not been downloaded
• The request is made within 7 days of purchase
• The product is defective or misrepresented
• Required by applicable law

6.5 Price Changes

We reserve the right to modify pricing structures and fees with reasonable notice to users.

7.1 Data Collection and Use

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.2 International Data Transfers

By using our Service, you consent to the transfer of your information to countries outside your home country, including India and the United States, for processing and storage.

7.3 Data Retention

We retain user data as necessary to provide our services and comply with legal obligations. Users may request data deletion subject to our Privacy Policy and applicable laws.

8.1 Third-Party Links

The Service may contain links to third-party websites, services, or products. 3dimli.com does not endorse and is not responsible for any third-party content, websites, services, or products. You use all third-party services at your own risk.

8.2 PayPal Integration

Our payment processing is provided by PayPal. By using our payment services, you also agree to PayPal's terms of service and policies.

9.1 Service Availability

While we strive to maintain continuous service availability, we do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or technical issues.

9.2 Platform Changes

We reserve the right to modify, update, or discontinue any aspect of the Service at any time with reasonable notice to users.

10.1 Termination by User

You may terminate your Account at any time by contacting us at connect@3dimli.com. Termination does not affect your existing licenses for purchased Products.

10.2 Termination by 3DIMLI

We reserve the right to suspend or terminate your Account and access to the Service at any time for:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent or illegal activity
• Non-payment of fees
• Prolonged inactivity
• Any other reason we deem necessary to protect our platform or users

10.3 Effect of Termination

Upon termination:

• Your access to the Service will be discontinued
• Existing licenses for purchased Products remain valid
• Outstanding payments may be subject to our Refund Policy
• Certain provisions of these Terms will survive termination

11.1 Service Disclaimer

The Service and all Products are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. 3dimli.com disclaims all warranties, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Title and non-infringement
• Continuous or error-free operation

11.2 Product Disclaimer

3dimli.com is a platform that facilitates transactions between Sellers and Buyers. We do not create, own, endorse, or guarantee the quality, safety, or legality of Products listed on our platform. We do not buy, sell, or take ownership of any digital products. All transactions are directly between individual Sellers and Buyers.

11.3 Limitation of Liability

To the maximum extent permitted by law, 3dimli.com and its Sellers shall not be liable for any:

• Indirect, punitive, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from your use of the Service or Products
• Total liability exceeding the amount paid by you for the specific Product or Service

You agree to indemnify, defend, and hold harmless 3dimli.com, its officers, directors, employees, agents, and Sellers from and against any claims, disputes, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to:

• Your access to or use of the Service or Products
• Your violation of these Terms or our Acceptable Use Policy
• Your violation of any rights of others
• Your User Content or any content you submit

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law provisions.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in [Your City], India.

13.3 Export Controls

Users must comply with all applicable export controls and trade sanctions, including those administered by the U.S. Government and other relevant authorities.

13.4 International Users

If you access the Service from outside India, you are responsible for compliance with local laws in your jurisdiction.

14.1 Informal Resolution

Before pursuing formal dispute resolution, we encourage users to contact us at connect@3dimli.com to resolve issues informally.

14.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 2015 of India, rather than in court, except that you may assert claims in small claims court if your claims qualify.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

3dimli.com shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, or government regulations.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

These Terms, together with our Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and 3dimli.com regarding the Service and supersede all prior agreements and understandings.

18.1 Modification Rights

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices.

18.2 Notice of Changes

We will provide notice of material changes to these Terms by:

• Posting updated Terms on our website
• Sending email notifications to registered users
• Providing in-platform notifications

18.3 Acceptance of Changes

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
